Raymond Industrial Limited disclosed a forthcoming reshuffle of its independent non-executive directors (INEDs) and board committees, effective 1 September 2026.
Wilson Lo Kwong Shun has tendered his resignation as INED, member of the Audit Committee, and chairperson of both the Remuneration and Nomination Committees. The departure is attributed to Lo’s intention to devote more time to other business commitments. The company confirmed Lo has no disagreements with the board and no other matters require shareholder attention.
Simultaneously, the board has appointed Richard Tsun Kok Chung, aged 62, as INED and as a member of the Audit, Remuneration and Nomination Committees. Tsun brings more than 30 years of legal experience across capital markets, M&A, fund structuring, dispute resolution and virtual-asset compliance. He is a Hong Kong solicitor, a licensed lawyer in the Guangdong-Hong Kong-Macao Greater Bay Area since 2022, and the founder of Tsun & Partners. Tsun will receive an annual director’s fee of HK$0.24 million, aligned with prevailing market rates for Hong Kong-listed companies.
The company affirmed Tsun’s independence under Listing Rule 3.13, noting no past or present financial interests in Raymond Industrial, no relationships with substantial shareholders or management, and no shareholding under Part XV of the Securities and Futures Ordinance.
Additional committee changes effective 1 September 2026 include the appointment of Dr. Ko Siu Fung Stephen as chairperson of both the Remuneration and Nomination Committees.
Post-transition, the board will comprise four executive directors, two non-executive directors and three independent non-executive directors.
