Envictus International names new directors, independence ratio falls to 50%

Envictus International Holdings Limited announced on Nov, 18 2025 the appointment of Chew Sun Teong as a Non-Executive Non-Independent Director and Benjamin Teo Jong Hian as his Alternate Director, effective the same day.

Following the changes, the eight-member board now comprises three Independent Directors, three Non-Executive Non-Independent Directors, one Executive Chairman and Group CEO, and two Alternate Directors. The share of Independent Directors has decreased from 60 % to 50 %, leaving the company short of the Code of Corporate Governance requirement for a majority of independent directors.

Envictus said its Nominating Committee will lead the search for additional Independent Directors to restore compliance, focusing on candidates with suitable industry knowledge, experience, competencies and diversity of perspectives.
