China Shenhua Energy Company Limited (01088) held its 2025 second extraordinary general meeting on 24 October 2025 in Beijing. According to the announcement, attending shareholders and authorized proxies represented 14,886,926,213 voting shares, accounting for approximately 74.927202% of the total issued shares of 19,868,519,955.
All resolutions listed in the notice were passed via poll. One of the key approvals was an interim dividend for the six months ended 30 June 2025 of RMB0.98 per share (tax inclusive), totaling approximately RMB19,471 million (tax inclusive). The resolution received more than 50% of votes in favor and passed as an ordinary resolution.
Another major resolution granted a general mandate to the board of directors and its authorized persons to issue shares. This resolution met the threshold of approval by more than two-thirds of the votes cast and was passed as a special resolution.
The EGM was convened under relevant laws, regulations, and the company’s articles of association. It was confirmed that no shareholder was required to abstain from voting on any resolution under the Hong Kong Listing Rules. Computershare Hong Kong Investor Services Limited served as one of the scrutineers for the voting process.
