NOVOSENSE Calls 23 July 2026 ESM to Approve Dual-Class Share Incentive Schemes and Related Mandates

Hong Kong-listed Suzhou Novosense Microelectronics Co., Ltd. (NOVOSENSE) has issued a notice convening an extraordinary shareholders’ meeting (ESM) for 3:00 p.m. on Thursday, 23 July 2026 at its Suzhou Industrial Park headquarters.

The agenda centres on six special resolutions designed to advance equity-based incentives for employees and service providers:

1. 2026 A Share Restricted Share Incentive Scheme (draft) and summary. 2. Administrative Measures governing implementation and appraisal of the above A-share plan. 3. Authorisation for the Board to handle all matters related to the A-share incentive scheme. 4. 2026 H Share Scheme, including: • Adoption of the scheme; • Approval of the Scheme Mandate Limit; • Approval of the Service Provider Sublimit. 5. Authorisation for the Board and/or the designated Scheme Administrator to execute and manage the H-share scheme.

Key procedural arrangements:

• Voting method: All resolutions will be decided by poll in accordance with Hong Kong Listing Rules. Results will be published on the HKEX and company websites. • Register closure: The H-share register will be closed from 20–23 July 2026 (both days inclusive). Share transfers must be lodged with Computershare Hong Kong Investor Services by 4:30 p.m. on 17 July 2026 for shareholders to qualify for attendance and voting rights. • Proxy deadline: Valid proxy forms and any notarised authorisations must reach Computershare by 3:00 p.m. on 22 July 2026. Each shareholder may appoint one or more proxies, who need not be company shareholders. • Meeting logistics: The session is expected to conclude within one working day; attendees will bear their own travel and accommodation costs.
