TRUE PARTNER (08657) announced that, in accordance with the terms of the bond subscription agreement, Mr. Jeronimus Mattheus Tielman and Ms. Bai Wanting will resign from their positions as independent non-executive directors on the completion date of the convertible bonds.
Following approval from the independent board committee, Jialin Capital has been appointed as the independent financial advisor under GEM Listing Rule 20.42 to provide advice to the independent board committee and independent shareholders regarding the bond subscription agreement, the transactions contemplated thereunder, and the whitewash waiver.
The company has applied to the Stock Exchange for the resumption of share trading, effective from 9:00 a.m. on February 4, 2026.
