TYCOON GROUP Postpones Issuance of Circulars on JBM and Talent Smart Connected Transactions to 14 Aug 2026

Tycoon Group Holdings Limited (TYCOON GROUP) has announced a further delay in sending out two shareholder circulars related to pending connected-transaction mandates.

The company originally targeted 31 July 2026 for the despatch of: 1) the circular covering the proposed revision of annual caps under its Distribution Agreements with JBM Group and the Foci Distribution Agreement; and 2) the circular concerning the proposed revision of annual caps under the 2025 Master Sale and Purchase Agreement with Talent Smart Group.

Citing the need for additional time to finalise the information to be included, TYCOON GROUP now expects both the “JBM CCT Circular” and the “Talent Smart CCT Circular” to be issued on or before 14 August 2026.

The Board continues to be chaired by Executive Director and Chief Executive Officer Mr. Wong Ka Chun Michael. The announcement carries no changes to the underlying transaction terms or annual cap proposals disclosed on 12 June 2026; it solely adjusts the timetable for shareholder documentation.
