Acotec Scientific Holdings Limited (ACOTEC-B) has announced a proposal to amend its Memorandum and Articles of Association and adopt a fully consolidated version of these documents. The initiative seeks to achieve three objectives:
1) Align corporate governance with the Core Shareholder Protection Standards in Appendix A1 of the Hong Kong Stock Exchange Listing Rules, notably enabling shareholders to attend general meetings virtually and vote electronically.
2) Introduce flexibility for the company to hold repurchased shares as treasury shares, expanding capital-management options.
3) Implement housekeeping changes aimed at clarifying, updating and improving consistency with applicable laws.
The proposed amendments and the new consolidated Memorandum and Articles of Association will be put to shareholders for approval via special resolution at the forthcoming annual general meeting. A circular detailing the revisions and the AGM notice will be published on both the Stock Exchange and company websites.
The board currently comprises one executive director, three non-executive directors and three independent non-executive directors. The announcement was issued in Hong Kong on 26 March 2026 and signed by Executive Director, Chairperson and CEO Jing Li.
