Qinhuangdao Port Co., Ltd. (the “Company”) has announced that two directors, Mr. Zhang Xiaoqiang and Mr. Zhang Nan, have resigned. Mr. Zhang Xiaoqiang stepped down from his roles as executive Director, Chairman, and chairman of the Strategy Committee, while Mr. Zhang Nan departed as a non-executive Director and a member of the Strategy Committee, the Audit Committee, and the Compliance Management Committee.
The Company has proposed the appointments of Mr. Zhang Zhihui and Mr. Ding Xiaoping as new executive Directors for the sixth session of the Board, subject to approval at the Company’s first extraordinary general meeting (EGM) in 2026. Their terms would commence upon approval at the EGM until the end of the sixth session of the Board. Both candidates have extensive management experience and hold advanced degrees, with Mr. Zhang serving in leading roles at Tangshan Port Group Co., Ltd. and other port-affiliated entities, and Mr. Ding having served in similar executive positions at Caofeidian Port Group Co., Ltd. and Cangzhou Huanghua Port Bulk Cargo Port Co., Ltd.
The Company further announced that Mr. Nie Yuzhong has resigned from the position of President but will remain an executive Director and continue to serve in his existing Board roles. Mr. Ding will assume the post of President, effective immediately, until the end of the sixth session of the Board.
According to the Company, details regarding the EGM, including the notice and relevant circular, will be dispatched to shareholders on or before 3 February 2026.
