Kunlun Energy Company Limited has dispatched a proxy form for a Special General Meeting (SGM) to be held on 23 October 2026 at 10:00 a.m. in Hong Kong’s Island Shangri-La, where shareholders will vote on two key ordinary resolutions governing its connected-party transactions.
Resolution 1 – 2026 Revised Annual Cap • Shareholders are asked to approve an upward revision of the annual transaction cap for the company’s Continuing Connected Transactions for the 2026 financial year. • The proposal also authorises any one director to undertake all actions necessary to implement the revised cap.
Resolution 2 – 2027-2029 Continuing Connected Transactions • The company seeks ratification of a new Master Agreement that will govern Continuing Connected Transactions for the three financial years ending 31 December 2029. • Approval is requested for the Non-Exempt Continuing Connected Transactions under this agreement, together with the Proposed Annual Caps for each of the years 2027, 2028 and 2029. • The resolution authorises one director—or, if a company seal is required, any two directors—to execute documents and take all steps deemed expedient to implement the transactions and related caps.
Administrative Details • All registered shareholders as of the record date are entitled to attend or appoint proxies. • Proxy forms, along with any relevant powers of attorney, must be lodged at the company’s principal office or at Tricor Investor Services Limited no later than 48 hours before the SGM. • Completion of a proxy form does not preclude shareholders from attending and voting in person; attendance will automatically revoke any submitted proxy.
