万顺集团控股(01746)公告称，董事会将在即将召开的股东周年大会上寻求普通决议案授权，允许在法定期限内回购不超过公司已发行股本10%的股份。公司股票于香港联合交易所有限公司主板上市。
根据公告，回购所需资金将来自根据开曼群岛法律及上市规则可动用的公司资本或盈余。公司董事会认为，适时进行股份购回有助于提升股东回报及优化资本结构。董事会表示，如行使回购授权，将在进一步考虑资金状况及市场行情后作出决定，并认为此举符合公司及股东的整体利益。
在过往约一年期间，公司股价最高曾达0.71港元，最低约为0.232港元。董事会提醒股东，相关决议案仍需提交股东周年大会审议。公司将于股东周年大会开始前一段时间暂停办理股份过户登记，以确定有资格出席并表决的股东名单，具体日期以公司最新公布为准。
公司同时提及，若回购方案获批，相关董事亦将得到相应授权，以便在会议通过后积极推进股份购回事宜。
