Simcere Pharmaceutical Group Limited (Simcere Pharma) filed its Monthly Return with Hong Kong Exchanges and Clearing Limited for the period ended 30 April 2026, confirming a stable share structure and continued compliance with public-float rules.

• Issued Shares Stable: The company closed April with 2.60 billion ordinary shares outstanding, unchanged from the previous month. No treasury shares were held or created during the period.

• Public Float Met: Simcere Pharma reconfirmed that its public float satisfies the Main Board’s minimum requirement of 15.45 percent of total issued shares.

• Equity Incentive Headroom: Under the amended Restricted Share Unit (RSU) Scheme approved on 15 June 2023, up to 235.20 million shares remain available for future grants. No RSUs were exercised or allotted in April.

• Repurchase Pending Cancellation: A previously disclosed batch of 12.83 million shares repurchased on 13 June 2025 is still awaiting formal cancellation; no additional repurchases or cancellations occurred in the latest month.

The unchanged share count and unutilised incentive capacity underscore a stable capital base as of end-April 2026.
