S.F. Holding Updates on A-Share Buyback: 3.05% of Capital Repurchased, RMB 5.78 Billion Spent

S.F. Holding Co., Ltd. disclosed that its ongoing A-share buyback programme, launched on 3 September 2025, has reached the 3% statutory disclosure threshold. As of 28 May 2026, the company has repurchased 153.75 million A-shares—equivalent to 3.05% of total share capital—through the Shenzhen Stock Exchange’s centralised bidding system.

The cumulative outlay totalled RMB 5.78 billion, excluding transaction costs, at an average purchase price of RMB 37.59 per share. Transaction prices ranged between RMB 35.06 and RMB 42.23 per share, comfortably below the current price ceiling of RMB 58.68 per share (adjusted from RMB 60.00 following the company’s equity distribution on 19 May 2026).

Key parameters of the revised buyback plan, approved by the board on 30 March 2026, include: • Aggregate consideration: no less than RMB 3.00 billion and no more than RMB 6.00 billion. • Share class: on-market repurchase of publicly traded A-shares. • Price cap: RMB 58.68 per share. • Execution window: up to 29 March 2027 (12 months from the date of plan revision). • Intended use: cancel all repurchased shares to reduce registered capital, as endorsed by shareholders on 8 May 2026.

Compliance checks confirm that: 1) Repurchases avoided periods involving undisclosed material events, meeting regulatory timing restrictions. 2) All transaction prices were below the stock’s daily upper price limit. 3) No orders were placed during opening or closing call auctions, nor on days without price limits.
