Emperor Culture Group Limited (Stock Code: 491) issued a circular announcing that its Annual General Meeting (AGM) is scheduled for 3 December 2025 at 10:30 a.m. The meeting will be held at 28th Floor, Emperor Group Centre, 288 Hennessy Road, Wanchai, Hong Kong.

According to the document, the AGM agenda includes proposed resolutions for re-electing and electing Directors, and granting general mandates to issue and buy back shares. Specifically, the company notes that for the Board, one existing Director is seeking re-election and one independent non-executive candidacy has been proposed. A retiring independent non-executive Director will not stand for re-election.

The circular outlines that the proposed share issue mandate would authorize the Board to issue up to 20% of the total number of issued shares at the time of the resolution’s approval. The proposed buy-back mandate would authorize the company to purchase up to 10% of its shares on the open market, subject to relevant requirements. Any shares bought back could potentially be canceled or held as treasury shares, following applicable regulations.

Shareholders who wish to attend and vote at the meeting must register any share transfers with the company’s branch share registrar by 27 November 2025. The circular also notes that no refreshments or corporate gifts will be provided at the AGM.
