正利控股有限公司（股票代码：03728）于近日发布公告，将在2026年8月24日（星期一）召开股东周年大会，审议并表决股份购回授权等相关决议。根据公告，本次购回计划的上限为公司于决议案通过当日已发行股份总数的10%。
公告显示，正利控股现已发行股份数量约为1,013,000,000股。若购回授权获得通过，公司最多可回购约101,300,000股股份。公司董事会表示，股份购回的资金将按照相关法律法规及上市规则从公司合法资金来源中拨付，包括从公司溢利、股份溢价账户或其他符合规定的资金渠道中提取。公司同时指出，购回计划的实施将根据市场形势和资金安排进行，并认为该举措有助于提高股东回报，维护公司和股东的整体利益。
此外，公司将于2026年8月19日至8月24日暂停办理股东登记事宜，有意参加股东周年大会并行使投票权的股东需在2026年8月18日（星期二）下午四时三十分前办妥股份过户登记手续。公司董事会鼓励股东积极行使投票权，以便就此次购回授权及其他议案作出表决。
