2026年7月29日，中国交通建设股份有限公司（01800）公告称，董事会已于2026年7月28日审议通过议案，同意为子公司约翰霍兰德就两项澳大利亚项目提供母公司连带责任担保。
1. 担保项目及金额
• 墨尔本郊区环形铁路G合同包项目：担保责任上限3.58亿澳元，约16.79亿元，担保期限预计13年。
• 悉尼地铁西线轨道及机电项目：担保责任上限13.77亿澳元，约64.57亿元，担保期限预计20年。
两项担保责任上限合计约81.36亿元。
2. 被担保方概况
约翰霍兰德为公司附属公司，截至2025年12月31日，资产总额1,371,875万元，负债总额948,298万元，净资产423,576万元；2025年营业收入3,198,704万元，净利润-54,160万元。
3. 已有担保及累积情况
截至公告日，公司已为约翰霍兰德提供的履约担保余额为243.12亿元。
截至2025年12月31日，公司及控股子公司融资担保余额为993.81亿元，占公司2025年末经审计净资产4,678.87亿元的21.24%；其中对控股子公司担保总额968.63亿元，占比20.70%。公司无逾期融资担保。
4. 决策程序
本次担保事项已获公司第六届董事会第七次会议审议通过，毋须提交股东大会审议。
5. 其他信息
担保无反担保，被担保方不存在失信被执行情形。公司表示，本次担保系项目招投标及业主要求，对公司整体利益具有必要性，风险可控。
