Shandong Gold Mining Co., Ltd. (SD Gold) reported that Mr. Han Yaodong has resigned from all his positions, including Chairman, legal representative, non-executive director, chairman of the Board’s strategy committee, and memberships on the nomination and audit committees.
Mr. Han’s resignation, prompted by work reassignment, became effective upon delivery of his written notice to the Board on 10 July 2026. The departure does not reduce the Board below the statutory minimum required under the Company Law of the People’s Republic of China, the Shanghai Stock Exchange listing rules and the company’s articles of association.
SD Gold stated that Mr. Han has completed a full handover and that normal Board operations, daily management and production activities remain unaffected. The company confirmed he holds no shares, has no outstanding undertakings, and there is no disagreement with the Board or other matters requiring shareholder attention.
The Board expressed appreciation for Mr. Han’s role in advancing strategic planning, operational development, governance, technological innovation and team building during his tenure.
Following Mr. Han’s resignation, the Board comprises five executive directors—Mr. Wang Chenglong, Mr. Xu Jianxin, Mr. Xiu Guolin, Mr. Tang Qi and Ms. Liu Yanfen—and three independent non-executive directors—Mr. Zhan Kai, Mr. Liew Fui Kiang and Ms. Zhao Feng. The announcement was issued in Jinan, PRC, on 10 July 2026 and signed by the new Chairman, Mr. Wang Chenglong.
