CIFI Holdings (Group) Co. Ltd. announced that, effective 29 June 2026, two key changes will take place in its board and committee structure.
1. Director departure • Independent non-executive director (INED) Zhang Yongyue will retire on 29 June 2026. • His exit includes stepping down as chairman of the Remuneration Committee and as a member of both the Nomination Committee and the Audit Committee. • The company notes that Zhang’s departure is part of a personal retirement plan and that he has no disagreement with the board.
2. New appointment • Ding Zuyu will become an INED, chairman of the Remuneration Committee, and a member of the Nomination and Audit Committees on the same date. • Ding has signed an initial three-year appointment letter, subject to shareholder re-election at the next annual general meeting and triennial rotation thereafter. • Annual remuneration is set at HK$0.32 million, to be reviewed annually by the Remuneration Committee. • Ding brings more than two decades of mainland China real-estate experience, currently serving as an executive director of E-House (China) Enterprise Holdings and as an INED at three other Hong Kong-listed property companies. He also holds advisory roles with the China Real Estate Association and the Ministry of Housing and Urban-Rural Development. • Ding meets the independence criteria under Listing Rule 3.13 and holds no shares in CIFI Holdings.
3. Updated board composition (effective 29 June 2026) • Executive Directors: Lin Zhong (Chairman), Lin Wei, Zhou Changliang, Yang Xin, Li Yang • Non-executive Director: Zeng Yang • Independent Non-executive Directors: Tan Wee Seng, Lin Caiyi, Ding Zuyu
The board expressed gratitude to Zhang Yongyue for his service and extended a formal welcome to Ding Zuyu.
