正通汽车服务控股有限公司（正通汽车）3月31日晚间披露复牌进度季度更新公告。公司与要约人信达汽车（香港）有限公司正就恢复最低公众持股量与多名潜在投资者洽商，但至今未达成具法律约束力的承诺，股份将继续停牌直至另行通知。
公告显示，要约人计划向独立第三方配售及／或出售其自强制要约中取得的股份，同时公司亦在探讨新股配售机会，以满足上市规则对最低公众持股量的要求。由于潜在投资者多倾向待公司公布2025/26财年业绩后再作决定，加上上市公司财务业绩禁售期自今年1月至3月30日生效，相关安排需额外时间落实。
正通汽车于公告中同时披露业务进展：集团3月12日完成对深圳证券交易所上市公司厦门信达股份有限公司全部4S经销业务及汽车销售、出口业务的收购。公司预期，该收购将扩大其区域布局及市场份额，并在新能源品牌和海外业务拓展方面实现协同。
公司股份自2025年7月2日停牌至今。正通汽车与要约人表示，将继续推进上述措施，尽快恢复公众持股量，并按上市规则适时披露最新进展。
截至公告日期，董事会由5名执行董事及3名独立非执行董事组成，主席为黄俊锋。
