公告称，此前公司曾多次就卖方与要约人拟订立1.53亿股股份买卖协议及可能要约事宜发布公告。目前，卖方与要约人仍在就可能交易条款进行磋商，但根据上市规则相关规定，公司禁售期已于2026年5月1日开始，预计至2026年6月30日结束，期间董事不得买卖股份且相关商讨受限，因此磋商已暂停，将在禁售期结束后恢复。
截至公告日期，卖方与要约人尚未就可能交易订立正式或具有法律约束力的协议。根据收购守则规则3.7，公司将持续发布月度更新公告，直至有强烈意向作出要约或决定不再进行要约。
