雅天妮集团有限公司于2026年8月6日发布截至2026年7月31日止当月的证券变动月报，重点公告了已发行股份及注册股本的最新情况，并确认公司仍符合香港联交所关于公众持股量的要求。
公司在月报中披露，截至本月末，公司法定/注册股本总额维持在3亿港元。其中，普通股数量由生效前的总额60亿股（每股面值0.05港元）调整为12亿股（每股面值0.25港元），调整后法定/注册股本总额不变，仍为3亿港元。此次调整主要来源于7月20日生效的股份合并——将每5股面值0.05港元的已发行及未发行普通股合并为1股面值0.25港元的合并股份。
受此影响，公司已发行股份（不包括库存股份）由上月底结存的1,323,968,128股减少至264,793,625股，减少1,059,174,503股。公司明确表示，本月内未发生股份回购或注销行为，库存股份数也维持不变。
在股权激励方面，月报指出，公司于2024年9月30日采纳的购股权计划项下，计划授权限额由110,396,812股相应调整至22,079,362股，主要原因为本次股份合并所致。本月内未新增发行或转让库存股份行为。
公司表示，已遵守香港联交所《上市规则》及相关法律法规，并会按照规定履行信息披露义务。公告由公司秘书王润辉签署。公司确认于本报告期后，其股本与公众持股量均合规且维持在合并后水平。
