Pak Fah Yeow: Gan Family Shifts Hexagan Ownership to Next Generation; Maintains 30.46% Stake in Listed Entity

Pak Fah Yeow International Limited announced a restructuring of its substantial shareholder Hexagan Enterprises Limited on 30 June 2026, executed as a family succession arrangement.

Key transaction • Mr. Sean Gan (Chairman & CEO) and Madam Khoo Phaik Gim transferred their entire 4,000 shares in Hexagan—equal to 100% of Hexagan’s equity—to their four children (the “Transferees”) at par value of US$1.00 per share, for total consideration of US$4,000. • The transfer involved only Hexagan’s shares; no Pak Fah Yeow International Limited (“the Company”) shares changed hands.

Pre-transfer structure • Issued share capital of the Company: 311.64 million shares. • Hexagan held 65.32 million Company shares (20.96% of share capital). • Mr. Sean Gan directly held 27.21 million shares (8.73%), and Madam Khoo held 2.38 million shares (0.76%). • Combined, the Gan Family Group—Mr. Gan, Madam Khoo and Hexagan—controlled 94.91 million shares, or 30.46% of the Company.

Post-transfer structure • Ownership of Hexagan passes entirely to the four Transferees (Mr. Gary Gan, Mr. Gavin Gan and their two sisters). • Hexagan’s 65.32 million-share holding in Pak Fah Yeow remains unchanged. • The Gan Family Group’s aggregate interest in the Company is unchanged at 94.91 million shares (30.46% of issued capital).

Implications • The transaction is internal to the Gan family and does not alter the number of Pak Fah Yeow shares held by the group, nor does it affect the Company’s public float or control structure. • The Board issued this disclosure on a voluntary basis to inform shareholders and the market of the change in Hexagan’s shareholding structure.
