Hang Seng Bank (11, 80011) Issues Update on 2.8 Million Share Cancellation and Takeovers Code Compliance

Hong Kong Exchanges and Clearing Limited and The Stock Exchange of Hong Kong Limited have stated that they take no responsibility for the contents of the latest Hang Seng Bank Limited (Hang Seng Bank, Stock Codes: 11 for HKD and 80011 for RMB) announcement dated 24 October 2025 and disclaim any liability arising from its contents. Hang Seng Bank emphasized that the announcement does not constitute an offer to acquire, purchase, or subscribe for its securities.

The announcement refers to the 31 July 2025 notice regarding the Hang Seng Bank Share Buy-back Programme and the joint announcement made on 9 October 2025 with HSBC Holdings plc and The Hongkong and Shanghai Banking Corporation Limited. As reported, 2,800,000 of the Bank’s shares—repurchased prior to 9 October 2025—were cancelled on 24 October 2025. Following this cancellation, the total number of Hang Seng Bank’s relevant securities (including those underlying its American Depositary Shares) now stands at 1,872,937,536. According to the Bank, no other relevant securities have been issued.

The Bank reminded associates of HSBC Asia Pacific and Hang Seng Bank that dealing disclosures in Hang Seng Bank securities must comply with Rule 22 of the Hong Kong Code on Takeovers and Mergers. The proposal outlined in the earlier announcements remains subject to various conditions and may or may not be implemented. Hang Seng Bank therefore advised shareholders and potential investors to exercise caution when dealing in its securities.

As of the date of the announcement, the Board of Directors of Hang Seng Bank comprises Chairman and Independent Non-executive Director Edward Cheng Wai Sun, Chief Executive Director Luanne Lim Hui Hung, Non-executive Directors including Kathleen Gan Chieh Huey, and Independent Non-executive Directors such as Cordelia Chung, among others.
