叙福楼集团（01978）日前发布公告，为争取股东授权公司董事在股东周年大会上提出一般性购回股份议案，计划于决议案通过后在香港联交所或其他获认可交易场所回购不超过已发行股份总数10%的股份。根据公告，截至最后实际可行日期，公司发行股份总数约为8亿股，若授权获得批准，最多可回购约8000万股，占已发行股份的10%。
公司表示，购回所需资金将来自开曼群岛法律及上市规则允许范围内的合法来源。董事会称，此举有助于提升每股资产价值及增强股东回报。公告同时显示，过去12个月（自2025年5月至2026年5月），该公司在联交所的月度最高及最低股价分别达到每股0.420港元和0.300港元。董事会认为，股份购回符合公司及股东整体利益。
据公告，公司拟于2026年6月10日下午3时30分在香港旺角麦花臣汇举行股东周年大会，并于2026年6月5日至6月10日（含首尾两日）暂停办理股份过户登记手续。董事会表示，股份回购计划的具体事项需待股东表决通过后方可生效。
