China High Speed Transmission to Seek Fresh Issue & Buy-back Mandates, Six Directors Up for Re-election at 26 Jun AGM

China High Speed Transmission Equipment Group Co., Ltd. will convene its Annual General Meeting (AGM) on 26 June 2026 in Nanjing. Key items on the agenda include new share issue and share repurchase mandates, as well as the re-election of six directors.

New mandates • Issue Mandate: Directors are seeking authority to allot and issue up to 20% of the company’s issued share capital as at the AGM date—equivalent to a maximum 327.06 million shares, based on the 1.64 billion shares in issue on 2 June 2026. • Repurchase Mandate: Authority is requested to buy back up to 10% of issued shares, or 163.53 million shares. The mandate will expire at the conclusion of the next AGM, the statutory deadline for holding that meeting, or its earlier revocation. • Extension: Subject to approval, the issue mandate may be enlarged by the number of shares actually repurchased under the Repurchase Mandate.

Director re-elections The Board proposes the re-election of three executive directors—Li Zubin (also Chief Executive Officer), Yuan Xiaohong and Wang Bo—and three independent non-executive directors—Lau Jing Yeung William, Lu Yuanzhu and Tse Man Kit, Keith. All are eligible and have offered themselves for re-election. The nomination committee confirmed their independence and suitability.

Financial statements deferred Audited financial statements and the Directors’ report for the year ended 31 December 2025 remain outstanding due to earlier announced delays (31 March and 29 May 2026). Accordingly, the 26 June AGM will not consider the 2025 accounts, auditor re-appointment or related remuneration. An adjourned AGM will be called once the financial documents are finalised.

Shareholder arrangements • Shareholders as of the register-closure period 23–26 June 2026 (both days inclusive) may attend and vote. • Proxy forms must reach Computershare Hong Kong Investor Services no later than 48 hours before the meeting.

Location & time The AGM is scheduled for 3:00 p.m. on Friday, 26 June 2026, at Wuyi Ballroom, Grand Wuji Hotel – The Unbound Collection by Hyatt, Nanjing, Jiangsu Province, China.
