TIANBAO ENERGY: All Proposals Secure 100% Support at 2026 Second EGM, Enabling Equity Transfer and Bank Guarantee

On 29 June 2026, Tianjin Tianbao Energy Co., Ltd. (TIANBAO ENERGY) convened its second extraordinary general meeting of 2026 at the company’s Tianjin headquarters. Shareholders or proxies holding 115.60 million shares—equivalent to 72.29% of the company’s 159.92 million issued shares—participated, satisfying all legal and regulatory quorum requirements.

Two ordinary resolutions were tabled and both received unanimous approval:

1. Equity Transfer Agreement • 100% of the votes cast (115.60 million shares) ratified the Equity Transfer Agreement and authorised Chairman Zhou Shanzhong, or his designate, to execute all documents and actions necessary to implement and adjust the transaction.

2. Guarantee for Lingang Thermal Power • 100% of the votes cast (115.60 million shares) endorsed the company’s provision of a guarantee to China Construction Bank Corporation for Lingang Thermal Power’s bank loan. The chairman, or his designate, is empowered to finalise all related matters, including adjustments to the guarantee plan and amount.

Computershare Hong Kong Investor Services Limited acted as the independent scrutineer for vote-counting, confirming the accuracy of the poll results. All directors attended the meeting, which was conducted in accordance with the PRC Company Law, relevant regulations, the Hong Kong Listing Rules and the company’s Articles of Association.
