Yonghe Medical Proposes Fourth Amended & Restated Memorandum and Articles to Facilitate Hybrid Meetings and Regulatory Alignment

Yonghe Medical Group Co., Ltd. announced that its board intends to replace the existing Memorandum and Articles of Association with a fourth amended and restated version. The revision is designed to:

1) Align governing documents with the most recent Listing Rules, notably requirements on hybrid meetings and electronic voting; and 2) Introduce housekeeping adjustments that streamline the conduct of general meetings—including fully virtual or hybrid formats—and other corporate processes.

The proposed changes will be presented as a special resolution at the forthcoming annual general meeting. A detailed circular, together with the AGM notice, will be dispatched to shareholders in due course.

The board believes the updated framework will enhance operational efficiency and serve the interests of all shareholders. Chairman Zhang Yu signed the announcement on 2 April 2026. As of that date, the board comprised three executive directors, one non-executive director and three independent non-executive directors.
