CAI Corp Schedules 6 Aug 2026 EGM to Seek Approval for Subscription Agreement and Specific Share Issue Mandate

CAI Corp, an exempted company incorporated in the Cayman Islands, will convene an Extraordinary General Meeting (EGM) on 6 August 2026 at 11:00 a.m. The meeting will take place at 11/F, CAI Building, 54–58 Electric Road, Tin Hau, Hong Kong.

The EGM’s sole ordinary resolution asks shareholders to consider and approve: • The Subscription Agreement and all transactions arising from it. • The grant of a Specific Mandate authorising the allotment and issue of the related Subscription Shares.

Shareholders recorded on the register may attend and vote in person or appoint one or more proxies, who need not be shareholders. One vote is allotted per share held. Completed proxy forms, together with any required authorisations, must reach Union Registrars Limited, Suites 3301–04, 33/F, Two Chinachem Exchange Square, 338 King’s Road, North Point, Hong Kong, no later than 48 hours before the meeting. Submitting a proxy form does not preclude a shareholder from attending and voting in person.

In cases of joint shareholdings, the most senior joint holder (as shown on the register) present at the EGM will be entitled to vote. All times and dates reference Hong Kong time.
