Azúr a.s. and KKCG Maritime Announce Delay in Dispatch of Partial Tender Offer Document for Ferretti S.P.A. (09638.HK)

Azúr a.s. (incorporated under the laws of the Czech Republic) and KKCG Maritime published an update on 8 February 2026 regarding the voluntary conditional partial public tender offer launched by KKCG Maritime to acquire up to 52,132,861 shares of Ferretti S.P.A. (Stock Code: 09638.HK; EXM: YACHT), representing 15.4% of Ferretti’s share capital. This development follows the notice dated 19 January 2026 announcing the tender offer and a 29 January 2026 announcement confirming the filing of the Offer Document with Consob and the Executive for review.

Under the HK Takeovers Code, the Offer Document was initially expected to be dispatched to shareholders by 9 February 2026. Citing the additional time typically required under Italian law for such publications, KKCG Maritime has applied to the Executive for an extension of the dispatch deadline to 3 March 2026. The Executive has indicated it is minded to grant this request.

Further announcements will be issued upon the actual dispatch of the Offer Document.
