Shuanghua Holdings Limited will convene its Annual General Meeting on 30 June 2026 at 2:00 p.m. (9/F, Tongsheng Building, 458 Fushan Road, Pudong District, Shanghai). Key agenda items are as follows:
1. Financial Reporting • Shareholders will consider and adopt the audited consolidated financial statements for the year ended 31 December 2025, together with directors’ and auditor’s reports.
2. Auditor Re-appointment • BDO Limited is nominated for re-appointment as external auditor, with the Board authorised to fix its remuneration.
3. Board Composition • Re-election of Mr. Zheng Ping (Executive Director), Mr. Chen Lifan (Independent Non-Executive Director) and Ms. Guo Ying (Independent Non-Executive Director). The Board will be empowered to determine directors’ remuneration.
4. General Mandates • Share Issuance: Directors seek authority to allot, issue, sell or transfer treasury shares not exceeding 20% of the Company’s issued share capital (excluding treasury shares) during the mandate period. • Share Repurchase: A parallel mandate allows repurchases of up to 10% of issued shares (excluding treasury shares). • Mandate Extension: Shares repurchased under the above authority may be added to the issuance limit.
5. Record Date & Proxy Arrangements • Share transfer registration will be suspended from 25 June 2026 to 30 June 2026 (both days inclusive). Shareholders must lodge transfer documents by 4:30 p.m. on 24 June 2026 to qualify for AGM attendance and voting. • Proxy forms must reach Computershare Hong Kong Investor Services Limited at least 48 hours before the meeting.
As at the notice date (30 April 2026), the Board comprises three Executive Directors, one Non-Executive Director and three Independent Non-Executive Directors, with Mr. Zheng Ping serving as Chairman.
