SAI Leisure: AGM Greenlights All 10 Resolutions; 2H2026 QZ Framework and Director Slate Secure Unanimous Support

SAI Leisure Group Company Limited reported a clean sweep of approvals at its Annual General Meeting (AGM) on 28 May 2026. All 10 ordinary resolutions were passed by poll with 100.00% of votes cast in favour.

Key outcomes:

1. Financial Statements Adopted • All 295.30 million votes represented at the meeting supported the audited consolidated financial statements for the year ended 31 December 2025.

2. Board Composition Confirmed • Executive Director Mr Chiu George, Non-Executive Director Mr Tan Willie and Independent Non-Executive Director Mr Ma Andrew Chiu Cheung were each re-elected with unanimous support (295.30 million votes, 100.00%).

3. Connected Transaction Mandate Approved • Independent shareholders endorsed the 2H2026 QZ Framework Agreement, associated Holiday Package Transactions and the Revised 2026 QZ Annual Cap with 25.30 million votes (100.00% of votes cast). THC Leisure, holding 270.00 million shares (75% of issued shares) and deemed interested in the transaction, abstained from voting.

4. Remuneration and Auditor Matters • Directors’ remuneration and the re-appointment of Messrs. Ernst & Young as auditor, along with their fee authorisation, each received full approval (295.30 million votes, 100.00%).

5. Capital Management Mandates • Shareholders granted the Board a general mandate to issue new shares up to 20% of issued capital and to repurchase up to 10%, plus an extension to increase the issue mandate by the amount of any shares repurchased. Each mandate garnered 295.30 million affirmative votes, representing 100.00% support.

• Total shares in issue: 360.00 million • Shares eligible to vote on most resolutions: 360.00 million • Shares eligible to vote on Resolution 5: 90.00 million (25% of issued shares) • All nine Directors attended the AGM, with seven present in person and two via electronic means. • Tricor Investor Services Limited acted as the scrutineer.

The unanimous backing across all resolutions underscores shareholder confidence in SAI Leisure’s governance, strategic initiatives and forthcoming 2H2026 QZ transactions.
