Cornerstone Technologies Holdings Limited (Stock Code: 8391) has released a circular proposing conditional grants of 94,199,200 shares (approximately 9.15% of its issued share capital) under the company’s 2025 Share Award Scheme. The shares have been granted to four senior management members, including two executive directors, subject to approval by independent shareholders at an extraordinary general meeting (EGM) scheduled for 22 December 2025.

According to the circular, the recipients are the chief executive officer, a director responsible for system development within the Group, the chief financial officer, and the chief operating officer. Each grant is linked to specific performance goals tied to business milestones such as subscriber and member numbers for the company’s electric vehicle (EV) charging services, financial targets in terms of revenue and profitability, and market valuation benchmarks. The awards vest in tranches of 12.5% upon fulfillment of each of eight performance milestones.

The company highlights that these grants serve as long-term incentives, aligning the interests of senior management with the Group’s strategic objectives, including the expansion of its EV operations domestically and abroad. The proposed grants would not require cash outflow and aim to retain key talent by offering share-based compensation tied to business and financial achievements.

Shareholders will vote on the resolutions during the EGM, where participants subject to the relevant listing rules stipulations will abstain from voting on specified resolutions.
