TI Cloud: 2026 AGM Approves FY-2025 Accounts, Dividend and Capital Mandates with 99%+ Support

TI Cloud Inc. announced that all resolutions tabled at its Annual General Meeting on 28 May 2026 were approved by wide margins, confirming strong shareholder backing for the company’s strategic and governance agenda.

Key Outcomes 1. FY-2025 Results Adopted: Shareholders representing 100.00% of the 105.95 million votes cast endorsed the audited consolidated financial statements and the reports of the board and independent auditor for the year ended 31 December 2025.

2. Final Dividend Approved: The proposed final dividend for FY-2025 secured unanimous support, with 100.00% of votes in favour. (The announcement did not disclose the dividend amount.)

3. Board Composition Confirmed: • Executive Director Wu Qiang was re-elected with 99.43% approval (105.35 million votes for). • Independent Non-Executive Director Li Zhiyong was re-elected with 100.00% approval. • Directors’ remuneration matters were fully endorsed.

4. Auditor Re-appointment: Ernst & Young was re-appointed as external auditor for the year ending 31 December 2026 with unanimous consent.

5. Authorisations and Mandates: • General share issue mandate: Authority to issue new shares up to 20% of issued share capital passed with 99.24% approval. • Share repurchase mandate: Authority to buy back up to 10% of issued shares gained 99.99% approval. • Extension of the issue mandate by the amount of repurchased shares also passed with 99.24% support.

Voting and Share Capital Snapshot • Shares in issue as of the AGM date: 174.00 million. • Treasury shares: 0.58 million, excluded from voting. • Shares eligible to vote: 168.24 million, after excluding 5.18 million shares held under the Share Incentive Plan that abstained in compliance with Hong Kong Listing Rules. • Tricor Investor Services Limited acted as the scrutineer for the poll.

Governance Attendance All five board members—Wu Qiang, Pan Wei, Weng Yang, Li Pengtao and Li Zhiyong—participated in the AGM either in person or via electronic means.

The near-unanimous approvals reinforce shareholder confidence in TI Cloud’s financial stewardship and provide the board with flexibility for future capital management initiatives.
