HM International to Table Director Re-election, 10% Buy-Back and 20% Issuance Mandates at 8 May 2026 AGM

HM International Holdings Limited will convene its 2026 annual general meeting (AGM) on 8 May 2026 at 11:00 a.m. on the 35th Floor, Dah Sing Financial Centre, 248 Queen’s Road East, Wan Chai, Hong Kong. Six ordinary resolutions are scheduled:

1. Financial Statements • Shareholders will vote on receiving the audited consolidated financial statements, together with directors’ and auditors’ reports, for the financial year ended 31 December 2025.

2. Board Composition and Remuneration • Executive directors Mr Yu Chi Ming and Ms Chan Wai Chung Caroline are nominated for re-election. • The board seeks authority to determine directors’ remuneration.

3. Auditor Re-appointment • HLB Hodgson Impey Cheng Limited is proposed for re-appointment as external auditor, with the board authorised to set its fees.

4. Share Buy-Back Mandate • Directors request a general mandate to repurchase up to 10% of the Company’s issued share capital as at the date of the AGM.

5. Share Issuance Mandate • A separate mandate will allow directors to allot, issue and deal with new shares representing up to 20% of the Company’s issued share capital as at the AGM date.

6. Extension of Issuance Mandate • Conditional on the approval of the above buy-back and issuance mandates, the board seeks authority to extend the 20% issuance mandate by adding any shares repurchased under the 10% buy-back authority.

Shareholders recorded on the register may appoint one or more proxies to vote on their behalf; proxy forms must be lodged with Tricor Investor Services Limited by 11:00 a.m. on 6 May 2026. Completion of a proxy form does not preclude shareholders from attending and voting in person at the AGM.
