Sunshine Insurance Group Company Limited (SUNSHINE INS) announced a senior management reshuffle effective 28 August 2026. Mr. Shu Gaoyong stepped down from his positions as joint company secretary and Authorized Representative under Rule 3.05 of the Hong Kong Listing Rules due to work-related adjustments. The Board expressed its appreciation for Mr. Shu’s service and confirmed no outstanding disagreements or matters requiring shareholder attention.
Mr. Dong Yingqiu, aged 51, has been appointed both joint company secretary and Authorized Representative from the same date, serving alongside existing joint company secretary Mr. Lau Kwok Yin. Mr. Dong joined SUNSHINE INS in 2005 and has held senior roles including general manager of the strategic development department, chief director of the Board office, secretary to the Board (Dec 2020–Nov 2023) and joint company secretary (Apr 2022–Aug 2023). He currently serves as deputy general manager of Sunshine Life Insurance Corporation Limited and as a non-executive director of Mashang Consumer Finance Co., Ltd. Mr. Dong holds an MBA from Peking University.
Mr. Lau, aged 41, has over 15 years of corporate secretarial and financial experience and remains in his role as joint company secretary. He is a Certified Public Accountant, Chartered Financial Analyst Charterholder, and a fellow of both The Chartered Governance Institute and the Hong Kong Chartered Governance Institute.
Because Mr. Dong does not yet meet the qualification requirements of Rule 3.28 of the Listing Rules, the Stock Exchange of Hong Kong granted SUNSHINE INS a three-year waiver from strict compliance with Rules 3.28 and 8.17. The waiver is conditional upon: 1. Mr. Dong receiving assistance from Mr. Lau during the waiver period; and 2. absence of material Listing Rule breaches by the company.
Before the waiver expires, SUNSHINE INS must demonstrate that Mr. Dong has obtained sufficient experience to fulfill the company secretary role without further exemption.
As of the announcement date, the Board comprises four executive directors, three non-executive directors, and five independent non-executive directors.
