GREEN ENERGY GP (00979) Announces Subsidiary's Disposal of German Property and Assets

GREEN ENERGY GP (00979) announced that on March 20, 2026: (i) property seller EnviroAssets GmbH, an indirect wholly-owned subsidiary of the company, entered into a property purchase agreement with property buyer Hanse Prometheus GmbH for the sale of a property at a consideration of €565,000 (approximately HK$5.288 million); and (ii) asset seller EnviroPlastics GmbH, which is 90% indirectly owned by the company, entered into an asset purchase and transfer agreement with asset buyer Reva Polymers GmbH for the sale of assets at a consideration of €80,000 (approximately HK$749,000). The assets to be sold under the disposal agreements include the property and the assets. The property consists of two plots of land located in Bend, Germany, with areas of 3,602 square meters and 4,519 square meters respectively, along with the industrial buildings and warehouses constructed thereon. The property was originally used by the Group for operating its plastics recycling business, which included the sorting, cleaning, and shredding of plastic materials, until the Group ceased operations at the processing plant in August 2025 to reduce costs. The assets include machinery and office equipment owned by the Group, which were used to operate the business until operations were terminated in August 2025. As of February 28, 2026, the total book value of the property and assets was approximately €742,000 (approximately HK$6.945 million). In 2025, given the business's sustained poor performance since commencement of operations, the Board re-evaluated its commercial viability and decided that the Group should cut its losses by selling the property and assets used for the business and terminating its operations. The Board believes that reallocating the Group's resources to other business segments with higher profitability, or to opportunities that may offer greater potential for sustainable growth and better returns for the company and its shareholders, is advisable.
