Shengguan Holdings (00829) announced that the board of directors has been informed by Shengguan Biotechnology Investment Co., Ltd. that the latter acquired a total of 8.452 million company shares through a series of transactions in the open market between April 9, 2026, and April 14, 2026. This represents approximately 0.26% of the company's issued share capital as of April 14, 2026.

Ms. Zhou Yaxian is a major shareholder of the company, serving as Chairwoman of the Board, Executive Director, and the beneficial owner of all issued share capital of Shengguan Biotechnology. Shengguan Biotechnology holds the entire interest in Guansheng Limited, which in turn holds the entire interest in Futong Limited. As of April 14, 2026, Futong Limited beneficially held 1.283 billion shares.

Shengguan Biotechnology also holds the entire interest in Xiansheng Limited, which beneficially held 252 million shares as of April 14, 2026. On that same date, Shengguan Biotechnology itself beneficially held 105 million shares.

Consequently, under the Hong Kong Securities and Futures Ordinance, Ms. Zhou is deemed to have an interest in all shares beneficially owned by Shengguan Biotechnology, Futong Limited, and Xiansheng Limited. Ms. Zhou also serves as a director of Shengguan Biotechnology, Guansheng Limited, Futong Limited, and Xiansheng Limited.

Following the acquisition and as of April 14, 2026, Ms. Zhou holds an interest in a total of 1.64 billion shares, equivalent to approximately 50.76% of the company's issued share capital.
