GOME Retail Keeps Share Count Flat in June; 1.76 Billion Shares Still Tied to Outstanding Convertibles

GOME Retail Holdings Limited reported no changes to its equity structure for the month ended 30 June 2026, according to the company’s latest monthly return filed with Hong Kong Exchanges and Clearing Limited on 2 July 2026.

The group’s authorised share capital closed the month unchanged at HKD 5.00 billion, representing 200 billion ordinary shares with a par value of HKD 0.025 each. Issued share capital also remained steady at 72.999 billion shares, with no treasury shares held and no share issuances, cancellations, or transfers recorded during June.

GOME Retail confirmed that it continued to meet the Main Board’s minimum public-float requirement of 25 percent of issued shares.

Potential dilution persists through two outstanding 5 percent convertible bond tranches: • US$200 million due 2023 (extendable to 2025) carries a conversion price of HKD 1.20 per share and could generate up to 1.30 billion new shares. • US$73.74 million due 2023 (extendable to 2025) carries a conversion price of US$1.24 per share and could add a further 463.86 million shares.

Combined, these instruments represent up to 1.76 billion additional shares—equivalent to roughly 2.41 percent of the current issued share base—if fully converted.

The company reported no share option activity, warrants, Hong Kong depositary receipts, or other equity agreements during the period.
