中国飞机租赁集团控股有限公司（01848.HK）10月22日公告，其全资附属特殊目的实体（卖方）已于2026年10月22日（交易时段后）与独立第三方AMERGIN AVIATION LEASING 2 DAC（买方）签署《飞机买卖协议》，拟向对方出售一架空客A320-214飞机。

根据协议，交易预计将于2026年11月16日或之前完成。买方系一家于爱尔兰注册、由Amergin Asset Management, LLC管理控制的公司；经公司董事会合理查询后确认，买方及其最终实益拥有人均为独立于公司及其关连人士的第三方。

董事会表示，飞机交易属集团常规业务之一，有助于提升来自飞机交易的收入、满足市场对飞机的需求，并维护集团与客户的良好关系。

依据《香港联合交易所有限公司证券上市规则》第14章的适用百分比率计算，该交易的百分比率超过5%但低于25%，构成本公司须予披露交易；因交易属于合资格飞机租赁活动，集团仅需遵守《上市规则》第14.33D条的披露规定。

董事会确认：(1)公司符合合资格飞机出租商的准则；(2)交易在公司日常业务中按一般商业条款订立；(3)交易条款公平合理，符合公司及股东整体利益。
