沃尔核材（09981）于2026年7月10日公告，董事会已获建议授予一般授权，可在授权期限内回购最高不超过已发行H股股本10%的股份。按公司目前已发行H股总数139,988,800股计算，回购上限约为13,998,880股。
据公告，为维护公司价值及股东权益，并配合市场变化与经营需要，沃尔核材拟使用自有资金进行本次股份回购，不会动用上市募集资金。公司将严格遵守上市规则及中国相关法律法规，确保资金来源合法合规。董事会认为，若充分行使回购授权，缘于公司财务及经营状况良好，不会对整体财务造成重大不利影响。公司H股自2026年2月13日上市以来，截至7月10日，交易区间最高价为每股23.48港元，最低价为10.70港元。
公司称，上述回购授权尚待2026年7月30日召开的临时股东大会审议通过。公司H股股东过户登记将于2026年7月27日至7月30日期间暂时停止办理，持股人如拟参加大会，应于7月24日下午4时30分前完成过户手续。董事会表示，该授权若获股东批准，将有助于提升股东回报，符合公司及股东的整体利益。
