Man Shing Global Sets 14 Aug 2026 AGM; Board Seeks 20% Issuance and 10% Buy-back Mandates

Man Shing Global Holdings Limited will convene its Annual General Meeting (AGM) on 14 August 2026 at 2:30 p.m. (9/F, No. 33 Des Voeux Road Central, Hong Kong). The meeting’s agenda centres on routine financial approvals, board refreshment, auditor re-appointment and renewal of capital mandates.

Key proposals up for shareholder vote include:

• Financial Statements: Adoption of the audited consolidated results and directors’ and auditors’ reports for the year ended 31 March 2026.

• Directors and Remuneration: – Authorisation for the board to determine directors’ fees. – Re-election of Mr Wong Chi Ho as Executive Director and Mr Woo Yiu Chung as Independent Non-executive Director. – Separate re-election of Mr Chiu Ka Wai as Independent Non-executive Director.

• Auditor Re-appointment: Continuation of Messrs. CCTH CPA Limited as external auditor, with the board authorised to fix remuneration.

• General Mandates: – Share Issue Mandate: Authority for the board to allot, issue or deal with additional shares up to 20% of the company’s issued share capital (excluding treasury shares) during the mandate period. – Share Buy-back Mandate: Permission to repurchase shares representing up to 10% of issued share capital (excluding treasury shares) on GEM or other recognised exchanges. – Extension Mandate: Expansion of the issuance limit by the amount of shares repurchased under the buy-back mandate, effectively allowing a potential additional 10% issue capacity.

Shareholders’ eligibility cut-off: The register of members will be closed from 11 August 2026 to 14 August 2026 (both days inclusive). Share transfers must be lodged with Tricor Investor Services Limited by 4:30 p.m. on 10 August 2026 to qualify for AGM attendance and voting.

All resolutions will be decided by poll in accordance with GEM Listing Rules. The board currently comprises four executive directors—Mr Wong Chong Shing (Chairman), Mr Wong Man Sing, Mr Wong Chi Ho and Ms Wong Ka Man—and three independent non-executive directors—Mr Au-Yeung Tin Wah, Mr Chiu Ka Wai and Mr Woo Yiu Chung.
