杭州德适生物科技股份有限公司（德适-B，02526）宣布，将在2026年6月26日召开年度股东大会，审议向董事会授予一般性授权，用于回购最多相当于公司已发行H股股本10%的股份。于最后可行日期，公司已发行H股约88,879,200股。如于特别决议案通过当日已发行股份总数维持不变，待授权获得批准后，最高回购规模可达约8,887,920股。
公司表示，资金来源将为公司依法可用于股份回购的自有资源。董事会认为，股份购回有助于在适当时机增进公司整体价值与每股盈利，符合公司及股东的整体利益。公司当前已就上述回购计划向股东提交议案，并将于股东大会审议后实施。
公司将于2026年6月23日至6月26日暂时关闭H股过户登记，以确定有权出席并表决的股东名单，股东需在2026年6月22日下午4时30分前完成H股过户并登记。董事会意见显示，若回购顺利进行，将有助于优化公司资本结构。股东可于股东大会召开时在场内或经线上方式行使表决权。该授权自股东大会通过之日起生效。
