AInnovation Technology Proposes to Abolish Supervisory Committee, Transfer Duties to Audit Committee

AInnovation Technology Group Co., Ltd. announced on 25 March 2026 that its Board will seek shareholder approval to dismantle the company’s Supervisory Committee and repeal the existing Procedural Rules for Supervisory Committee Meetings.

Under the proposal, all oversight responsibilities currently performed by the Supervisory Committee will be reassigned to the Board’s Audit Committee. The mandates of the company’s current supervisors will automatically cease once the abolition is ratified at the forthcoming annual general meeting (AGM). Until that vote, the second session of the Supervisory Committee will continue operating under prevailing regulations.

Management cited the CSRC’s updated Guidelines for the Articles of Association for Listed Companies (effective 28 March 2025) as the basis for a broader corporate-governance overhaul. In addition to dissolving the Supervisory Committee, the company intends to amend its Articles of Association and introduce new Procedural Rules for Shareholders’ Meetings and Board Meetings to align with current regulatory requirements.

All proposals—including the abolition of the Supervisory Committee, the repeal of its procedural rules, and the revisions to the Articles of Association and other governance documents—will be tabled at the AGM. Subject to shareholder approval, the revised documents will take immediate effect, and management (or its delegates) will handle all subsequent industrial-and-commercial filings.

AInnovation Technology plans to publish a circular and AGM notice with full details on both the Hong Kong Stock Exchange and the company website in due course.
