Sun Hing Vision Shareholders Back All AGM Resolutions; Fresh Mandates for Issuance, Buy-backs and New Option Scheme

At the 20 August 2026 annual general meeting (AGM) of Sun Hing Vision Group Holdings Limited, shareholders approved every one of the eight ordinary resolutions on the agenda by comfortable majorities, reinforcing management’s mandate for the coming year.

Strong Voting Turnout and Unanimous Support on Core Matters • Voting rights attached to all 262.78 million issued shares were eligible and none were subject to restrictions or abstentions. • Union Registrars Limited acted as scrutineer, confirming 173.46 million shares (66.05 % of issued capital) were voted on each resolution. • The FY 2025/26 audited results, directors’ and auditors’ reports received unanimous backing, securing 100 % of votes cast.

Board Composition Endorsed, Long-Serving INED Retained • Executive Director Mr Ku Ka Yung was re-elected with 100 % support. • Independent Non-Executive Directors (INEDs) Mr Lee Kwong Yiu and Mr Chow Chi Fai were re-elected with 81.6 % and 90.6 % approval respectively; Mr Lee’s continued tenure beyond nine years gained specific shareholder consent. • The Board’s authority to determine directors’ remuneration passed with identical support levels to Mr Chow’s re-election (90.6 %).

Audit Continuity Secured • The Company’s auditors were re-appointed with full shareholder approval, and the Board was authorised to fix their remuneration (100 % in favour).

Capital Management Flexibility Expanded • General mandate to issue new shares: 87.5 % approval, enabling the Board to allot and issue up to 20 % of issued share capital. • Share buy-back mandate: unanimously approved, permitting repurchase of up to 10 % of issued shares. • Mandate to add repurchased shares to the issuance limit also cleared with 87.5 % support.

New Share Option Scheme Adopted • Shareholders endorsed a new share option scheme and its mandate limit with 96.9 % votes in favour, providing an additional tool for employee incentivisation and long-term value alignment.

Governance & Attendance All directors—four executive and three independent non-executive—were present at the meeting, underscoring board commitment to corporate governance.

The decisive voting outcomes reaffirm shareholder confidence in Sun Hing Vision’s strategic direction, leadership team and capital management framework for the forthcoming financial year.
