WHARF HOLDINGS: No Share Capital Movement in March; Public Float Remains Above 25% Threshold

For the month ended 31 March 2026, Wharf Holdings (stock code 00004) reported no changes to its share capital structure. The number of issued ordinary shares stood unchanged at 3.06 billion, with no treasury shares on record, leaving total issued shares likewise at 3.06 billion.

Management confirmed that the company continued to meet the Hong Kong Main Board’s minimum public-float requirement of 25%, based on information available as of 31 March 2026.

The group’s 2023-approved Share Option Scheme remains undrawn. No options were outstanding, granted, exercised, or lapsed during the month, and no funds were raised. The scheme still permits the future issuance of up to 305.60 million shares, equivalent to 10.00% of current issued share capital.

There were also no movements involving warrants, convertible securities, or other share-issuance agreements, and no share repurchases or cancellations were recorded.

The monthly return was submitted to the Hong Kong Exchanges and Clearing Limited on 8 April 2026 by Director and Company Secretary Kevin C. Y. Hui.
