中远海运能源运输股份有限公司（股票代码：01138，下称“中远海能”）7月9日披露，因2025年末期利润分配方案实施，公司对2023年股票期权激励计划的行权价格进行调整，自2026年7月20日起生效。
公司2025年年度股东会于2026年6月26日审议通过的利润分配方案为：向全体股东每股派发现金红利人民币0.38元（含税）。根据授权，董事会于2026年6月26日召开二〇二六年第九次会议，以7票同意、0票反对、0票弃权的表决结果通过《关于调整2023年股票期权激励计划行权价格的议案》。
调整后，首次授予的股票期权行权价格由12.22元/股调至11.84元/股；预留授予的股票期权行权价格由11.88元/股调至11.50元/股。
此前的二〇二六年第四次董事会薪酬与考核委员会会议于2026年6月18日对该调整议案进行审议，以3票同意、0票反对、0票弃权通过。委员会认为此次调整符合《公司法》《证券法》及《上市公司股权激励管理办法》等法律法规，程序合规。
公司法律顾问出具的意见显示，本次行权价格调整已获得必要批准和授权，方法及内容符合法律、法规和规范性文件的相关规定。
