B.Duck Semk Holdings International Limited announced that Semk Products (Holdings) Limited, wholly owned by Chairman and CEO Mr. Hui Ha Lam, has pledged 100 million shares—equivalent to 9.92% of the company’s issued share capital—to Aurex Nordic Capital Limited on 8 June 2026. The shares are pledged under a master pledge agreement to secure loans obtained by Semk Products.

Following the transaction, Mr. Hui’s aggregate interest in B.Duck Semk remains at 674.00 million shares, representing 66.84% of the company. His holdings are split between: • Semk Products: 100 million pledged shares (9.92% of issued capital) • Semk Global Investment Ltd: 553.20 million shares (54.86% of issued capital)

The board confirmed that Aurex Nordic Capital Limited and its ultimate owners are independent third parties and that the pledge does not fall within the scope of Listing Rule 13.17.

The announcement was released in Hong Kong on 8 June 2026 and signed by Mr. Hui Ha Lam on behalf of the Board.
