根据公司公告，此次资本运作采用"股权分派+吸收合并"的模式。东风集团股份将其持有的岚图汽车79.67%股权按比例分派给股东，随后岚图汽车将以介绍方式在港交所上市。同时，东风汽车集团将通过全资子公司对东风集团股份进行私有化，并从港交所退市。
此次交易的总体收购价格为每股10.85港元，其中现金对价6.68港元，岚图股权对价4.17港元，较停牌前价格有显著溢价。东风集团表示，此举旨在重构估值，进一步整合优质资源向新能源汽车等新兴产业集中。分析人士认为，这一系列动作反映了传统车企面对行业转型的战略调整，有助于释放新能源资产的价值，并为公司寻找新的增长点。
