Chia Tai Enterprises International Limited announced amendments to its Nomination Committee Terms of Reference, originally adopted on 5 June 2015 and further revised on 10 November 2025. The Committee was established by the Board on 15 September 2014 to guide the Company’s approach to Board appointments and corporate governance.
Under the updated terms, the Committee must comprise at least three members, with a majority being independent non-executive directors, and at least one member representing a different gender. The Committee chair must be either the Board chair or an independent non-executive director. Meetings will be held at least once per year, and additional sessions may convene as necessary.
Key responsibilities include developing and reviewing nomination policies, as well as Board and workforce diversity policies; assessing Board composition based on factors such as independence, expertise, and diversity; and providing recommendations on appointments and reappointments. The Committee also verifies the ongoing independence of non-executive directors, evaluates each director’s time commitment, and oversees succession planning for key positions. Minutes of all meetings are kept for record-keeping and inspection as needed, ensuring transparency and adherence to the Company’s governance standards.
