FUJING HOLDINGS Subsidiary to Acquire Nursery Stock for 36.08 Million Yuan

FUJING HOLDINGS (02497) announced that on May 28, 2026, the buyer, an indirect wholly-owned subsidiary, Qingdao Fujing Agricultural Development Co., Ltd., intends to acquire assets from the seller, Wang Aijuan. The assets consist of a batch of nursery stock totaling 50,657 saplings, with a consideration of RMB 36.0823 million. This amount will be settled by the company through the allotment and issuance of 90.63 million consideration shares to the seller.

In recent years, agricultural tourism has become a core pillar of rural tourism. Market demand is growing for integrated services that combine landscape viewing of nursery stock, potted vegetable picking, and planting experiences. These products enjoy high public acceptance and strong consumer willingness to purchase. The buyer intends to expand its business into agricultural tourism and build a full-cycle agricultural ecosystem. Given the supply shortage of high-quality agricultural tourism projects in the vicinity of the nursery stock base, the buyer aims to seize regional market opportunities in a timely manner.

As a core landscape carrier for agricultural tourism, nursery stock, by virtue of its quality and scale, directly supports a project's attractiveness and visitor experience. Simultaneously, nursery stock possesses the characteristics of being cultivatable, value-appreciable, and disposable. It can generate diversified revenue through landscape-driven visitor traffic and product monetization, creating synergies with the existing potted vegetable business.

The assets feature a rich variety and complete specifications, complementing the buyer's existing potted vegetable cultivation operations.
