2026年7月29日，山东墨龙石油机械股份有限公司（00568，下称“山东墨龙”）公告称，由于公司依据一般性授权完成新H股配售，公司总股本由7.98亿股增至8.24亿股，导致控股股东寿光墨龙控股有限公司的持股比例由29.53%被动稀释至28.61%，降幅0.92个百分点。此次权益变动未涉及控股股东持股数量变化，也未触发要约收购义务。
公司此前于2026年7月22日披露《关于根据一般性授权配售新H股的公告》（公告编号：2026-037），并于7月29日完成配售。配售完成后，公司控股股东仍持有2.36亿股A股，为第一大股东，持股数量与变动前保持一致。
山东墨龙表示，本次权益变动不会导致公司控制权变更，也不影响公司治理结构及持续经营能力。公司董事会成员构成保持不变，包括4名执行董事、2名非执行董事及3名独立非执行董事。
公告同时确认，本次权益变动不存在违反《证券法》及《上市公司收购管理办法》等相关法规的情形。
